At a Special General Meeting of the above-named Company, duly convened, and held at The Menai Hotel, Craig-Y-Don Road Bangor, Gwynedd, LL57 2BG, on 27 February 2009 the following Resolutions were duly passed, as a Special Resolution and as an Ordinary Resolution respectively:-

“That the Company be wound up voluntarily, and that Marc Justin Landsman, of Carmichael & Co, City Wharf, New Bailey Street, Manchester M3 5ER, be and is hereby appointed as Liquidator of the Company for the purposes of the winding-up.”
