At a General Meeting of the members of the above-named Company, duly convened and held at Smith & Williamson Limited, Imperial House, 18-21 Kings Park Road, Southampton, SO15 2AT on 26 February 2009 at 11.00 am the following Resolutions were duly passed as a Special Resolution and an Ordinary Resolution respectively:

“That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly, that the Company be wound up voluntarily and that Stephen John Adshead and Gregory Andrew Palfrey, both of Smith & Williamson Limited, Imperial House, 18-21 Kings Park Road, Southampton SO15 2AT, be and are hereby appointed as Joint Liquidators for the purposes of the winding up.”
