At an Extraordinary General Meeting of the Members of the above-named Company, duly convened and held at The Best Western Park Hotel, Wellington Terrace, Clevedon, North Somerset BS21 7BL, on 27 November 2008, the following Resolutions were duly passed, as a Special Resolution and as an Ordinary Resolution respectively:

“That the Company be wound up voluntarily, and that Ian Michael Rose, of Silke & Co Limited, Silver House, Silver Street, Doncaster DN1 1HL, be and hereby is appointed Liquidator of the Company for the purpose of the voluntary winding-up.”
