At a General Meeting of the above-named Company, duly convened, and held at Shaw Gibbs ICR LLP, 264 Banbury Road on 18 November 2008, the following Resolutions were duly passed as a Special Resolution and as an Ordinary Resolution respectively:

“That the Company be wound up voluntarily; and that Clive Everitt of Shaw Gibbs Insolvency & Corporate Recovery LLP, 264 Banbury Road, Oxford OX2 7DY, be and is hereby appointed the Liquidator of the Company for the purpose of such winding-up.”
