Close Brothers Private Equity Fund VII

Pursuant to section 10 of the Limited Partnerships Act 1907, notice is hereby given that with effect from 31 October 2008, Prince Assets LDC transferred all of the interest held by it in the Close Brothers Private Equity Fund VII, a Limited Partnership registered in England with No LP009279 to Access Capital III MMBO (Delaware) LP and ACF III MMBO (Delaware) LLC and with effect from such date Prince Assets LDC ceased to be a Limited Partner and Access Capital III MMBO (Delaware) LP and ACF III MMBO (Delaware) LLC became Limited Partners in the Partnership.
