At an Extraordinary General Meeting of the Members of the above-named Company duly convened and held on 26 September 2008 at 11.45 am at the offices of Harris Lipman LLP, 2 Mountview Court, 310 Friern Barnet Lane, Whetstone, London N20 0YZ the following Special Resolution was duly passed:-

“That the Company cannot by reason of its liabilities continue its business, and it is advisable to wind-up the Company, and accordingly that the Company be wound-up voluntarily and that Filippa Connor MIPA FABRP, of B & C Associates, Trafalgar House, Grenville Place, Mill Hill, London NW7 3SA, an insolvency practitioner, licensed by the Institute of Chartered Accountants in England and Wales, is hereby appointed as Liquidator of the Company for the purposes of the voluntary winding-up”

At the subsequent Meeting of Creditors held at the same place on the same day the Voluntary Liquidation was confirmed by the Creditors and the appointment of Filippa Connor MIPA FABRP, of B & C Associates, Trafalgar House, Grenville Place, Mill Hill, London NW7 3SA, as Liquidator was ratified.
