At a General Meeting of the Designated Members of the above-named Limited Liability Partnership duly convened and held at The Birch Hotel, Lewes Road, Haywards Heath, West Sussex RH17 7SF, on 30 September 2008, the following Determination was duly passed:

“That it has been proved to the satisfaction of this Meeting that the Limited Liability Partnership cannot, by reason of its liabilities, continue its business, and that it is advisable to determine that the Limited Liability Partnership be wound up and accordingly that the Limited Liability Partnership be wound up voluntarily, and that Ruth Ellen Duncan of Atherton Bailey, Kent House, Romney Place, Maidstone, Kent ME15 6LH, be and is hereby appointed Liquidator of the Limited Liability Partnership for the purpose of such winding-up.
