At a General Meeting of the members of the above named company, duly convened and held at King William House, 46 Harpur Street, Bedford MK40 2QT on 14 August 2008 the following resolutions were duly passed, number one as a special resolution and number two as an ordinary resolution:-

1. “That is has been proved to the satisfaction of this meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same and accordingly that the Company be wound up voluntarily”.

2. “That James Preston Bradney and John Anthony Dickinson of Bridge Business Recovery LLP, 3rd Floor, 39-45 Shaftesbury Avenue, London W1D 6LA be and they are hereby appointed Joint Liquidators of the Company for the purpose of the voluntary winding-up”.
