At a General Meeting of the above-named Company, convened and held at the offices of Royce Peeling Green Limited, The Copper Room, Deva Centre, Trinity Way, Manchester M3 7BG, on Wednesday 11 June 2008, at 12.15 pm, the following Resolutions were passed as an Extraordinary Resolution and as an Ordinary Resolution respectively:

“That the Company be wound up voluntarily, and that Roderick M Withinshaw and Peter Jones of Royce Peeling Green Limited, The Copper Room, Deva Centre, Trinity Way, Manchester M3 7BG, be appointed Joint Liquidators of the Company for the purpose of such winding-up and they be authorised to act jointly and severally.”
