At an Extraordinary General Meeting of the members of the above named Company, duly convened and held at Express by Holiday Inn Hotel, 80 Ferensway, Kingston Upon Hull, HL2 8LN on 28 May 2008 the following special resolution was duly passed:

“That it has been proved to the satisfaction of this meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily, and that Timothy Hargreaves, of T H Associates, Chandler House, 5 Talbot Road, Leyland, Lancashire, PR25 2ZF, and he is hereby nominated for the purpose of winding-up.”
