At an Extraordinary General Meeting of the Members of the above-named Company, duly convened and held at 35 Waters Edge Business Park, Modwen Road, Manchester M5 3EZ, on 3 June 2008, the following Resolutions were duly passed as a Special Resolution and as Ordinary Resolutions respectively:

“Pursuant to section 84(1)(b) of the Insolvency Act 1986 the Company be wound up voluntarily; that John C Sallabank and P R Boyle of Harrisons, 35 Waters Edge Business Park, Modwen Road, Manchester M5 3EZ be and are hereby appointed Joint Liquidators for the purposes of such winding-up; and that the Joint Liquidators may act jointly or severally in all matters relating to the conduct of the liquidation of the Company.”
