At a General Meeting of the above-named Company, duly convened and held at Langley House, Park Road, East Finchley, London N2 8EX, on 23 May 2008 at 3.00 pm the following special resolution and ordinary resolution were passed:

“That the Company be wound up voluntarily, and that Philip Simons, of Langley Group LLP, Langley House, Park Road, London N2 8EX, be and he is hereby appointed Liquidator of the company for the purposes of the voluntary winding-up.”
