At a General Meeting of the above-named Company, duly convened, and held at Brook Hill Hall, Pinxton, Nottinghamshire NG16 6JU, on 1 May 2008, the subjoined Special Resolution was duly passed:

“That it has been proved to the satisfaction of this Meeting that it is advisable to wind up the Company, and accordingly, the Company be wound up voluntarily, and that Andrew Howard Beckingham and Matthew James Chadwick, of BDO Stoy Hayward LLP, Arcadia House, Maritime Walk, Ocean Village, Southampton SO14 3TL, are hereby appointed Joint Liquidators for the purposes of such winding-up, and are to act jointly and severally.”
