At a General Meeting of the above-named Company duly convened and held at Washington Parade, Bootle, Liverpool L20 5HH on 23 April 2008, the following Resolutions were duly passed, as a Special Resolution and as an Ordinary Resolution respectively:

“That the Company be wound up voluntarily, and that Annette Menzies of French Duncan, 375 West George Street, Glasgow G2 4LW be appointed Liquidator for the purposes of such winding-up.”
