At a General Meeting of the Members of the above-named Company, duly convened and held at Sam Rogoff & Co, PO Box 2647, London W1A 3RB on 27 March 2008 the following Special Resolutions were duly passed:-

“That the Company be wound up voluntarily and Filippa Connor, Licensed Insolvency Practitioner of B & C Associates, Trafalgar House, Grenville Place, Mill Hill, London NW7 3SA is hereby appointed Liquidator for the purposes of such winding-up.”

“That in accordance with the provisions of the Company’s articles of association, the Liquidator be and is authorised to divide among the members in specie all or any part of the Company’s assets”.

“That the Liquidator be authorised under the provisions of Section 165(2) to exercise the powers laid down in schedule 4, Part 1, of the Insolvency Act 1986”

The following Ordinary Resolution was duly passed:-

“That the fees of Filippa Connor for acting as liquidator be set at £3,500 plus VAT and disbursements, including SIP9 Category 2 disbursements”.
