Pursuant to Chapter 2 of Part 13 of the Companies Act 2006, the Directors of the Company propose that the following Resolution is passed, on 27 March 2008, as a Special Resolution:

“That the above-named Company be wound up voluntarily and that Antony Robert Fanshawe and Susan Jane Stockley, both of Fanshawe Lofts Chartered Accountants, 41 Castle Way, Southampton SO14 2BW, be and are hereby appointed Liquidators for the purpose of winding-up the Company’s affairs and distributing its assets and that any act required or authorised under any enactment to be done by the Liquidators may be done by one or more of any persons for the time being holding the office of Liquidators of the Company.”
