At a General Meeting of the members of the above named company, duly convened and held at Marshall Peters Limited, Heskin Hall Farm, Wood Lane, Heskin, Preston, Lancashire PR7 5PA on 3 March 2008 at the following resolutions were duly passed; No 1 as a special resolution and No 2 as an ordinary resolution:-

1. “That is has been proved to the satisfaction of this meeting that the company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily”.

2. “That Clive Morris be and he is hereby appointed Liquidator for the purposes of such winding up”
