LIMITED PARTNERSHIPS ACT 1907

Notice is hereby given, pursuant to section 10 of the Limited Partnerships Act 1907, that on 1 October 2007, Goldman Sachs Investments Ltd transferred to Goldman Sachs Private Equity Partners IX, L.P., Goldman Sachs Private Equity Partners IX Offshore Holdings Graphite VII, L.P. and Goldman Sachs Private Equity Partners IX PMD QP Fund L.P. its entire interest in Graphite Capital Partners VII ‘C’ (the “Partnership”), a Limited Partnership registered in England with No LP012119 and that with effect from 1 October 2007 Goldman Sachs Private Equity Partners IX, L.P., Goldman Sachs Private Equity Partners IX Offshore Holdings Graphite VII, L.P. and Goldman Sachs Private Equity Partners IX PMD QP Fund L.P. each became Limited Partners in the Partnership and Goldman Sachs Investments Ltd ceased to be a Partner in the Partnership.
