FOX CAFÉ BARS LIMITED

At an Extraordinary General Meeting of the above-named Company, duly convened and held at Sterling House, 22 St Cuthberts Way, Darlington, County Durham DL1 1GB, on 4 December 2007, at 11.00 am the following Resolutions were duly passed, as a Special Resolution and as an Ordinary Resolution respectively:

“That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business and that it is advisable to wind-up the same and accordingly, that the Company be wound-up voluntarily, and that Thomas Dixon of Haines Watts, West One, 114 Wellington Street, Leeds LS1 1BA be and is hereby appointed Liquidator of the Company for the purposes of such winding-up.”
