At an Extraordinary General Meeting of the Members of the above-named Company, duly convened and held at The Holiday Inn, Breakspear Way, Hemel Hempstead HP2 4UA on 29 October 2007 the following Extraordinary Resolution was duly passed:-

“That it has been proved to the satisfaction of the Meeting that the Company cannot by reason of its liabilities continue its business and that it is advisable to wind-up the same and accordingly that the Company be wound-up voluntarily and that Solomon Cohen, FCA, (Licensed Insolvency Practitioner) be and is hereby appointed Liquidator.”

At a subsequent Meeting of the Creditors of the Company held at The Holiday Inn, Breakspear Way, Hemel Hempstead HP2 4UA on 29 October 2007, the appointment of the said Solomon Cohen, FCA, of Great Central House, Great Central Avenue, South Ruislip, Middlesex HA4 6TS, Licensed Insolvency Practitioner as Liquidator was confirmed for the purposes of winding-up the Company.
