At an Extraordinary General Meeting of the above Company, duly convened, and held at Red House Hotel, Cholderton, Salisbury, on 6 November 2007, the subjoined Extraordinary Resolution was duly passed:

“That it has been proved to the satisfaction of the Meeting that this Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily, and that Robert Stone of R Duncan Stone & Co, Sunrise House, Newdigate Road, Beare Green, Dorking, Surrey, be and is hereby appointed Liquidator of the Company for the purposes of such winding-up.”

At a subsequent Meeting of Creditors held on the same day, the above Resolution was confirmed.
