At an Extraordinary General Meeting of the above named Company convened and held at The Premier Travel Inn, 7-11 Lower Moseley Street, Bishopsgate, Manchester, M2 3DW on 31 October 2007 at 11.30 am the following special resolution and ordinary resolutions were passed:

“That is has been proved to the satisfaction of the meeting that the Company cannot, by reason of its liabilities, continue its business and that the Company be wound up voluntarily. That Anne O’Keefe and Simon Wilson, both of Kroll, 2nd Floor, Mercury Court, Tithebarn Street, Liverpool L2 2QH, be appointed joint liquidators of the Company for the purposes of the voluntary winding-up. That the joint liquidators be authorised to act jointly and severally in the liquidation.”
