At an extraordinary general meeting of the members of the above named company convened and held at Royal County Hotel, Duke Street, Reading on 4 October 2007 at 11.00 am the following extraordinary resolution numbered 1 and the ordinary resolution numbered 2 were passed:

1. “That it has been proved to the satisfaction of the meeting that the company cannot, by reason of its liabilities, continue its business and that the company be wound up voluntarily.”

2. “That John Arthur Kirkpatrick and Keith Aleric Stevens of Wilkins Kennedy, Chartered Accountants, 6c Church Street, Reading, Berkshire RG1 2SB, be appointed joint liquidators of the company for the purposes of the voluntary winding up.”
