At a General Meeting of the above-named Company, convened and held at Langley House, Park Road, East Finchley, London N2 8EX, on 09 October 2007 the following special resolution and ordinary resolution were passed:

“That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business and that the Company be wound up voluntarily, and That Alan Simon, of Langley Group LLP, Langley House, Park Road, London N2 8EX and Freddy Khalastchi, of Harris Lipman LLP, 2 Mountview Court, 310 Friern Barnet Lane, Whetstone, London, N20 0YZ, be and are hereby appointed Joint Liquidators for the purposes of such winding-up.”
