At an Extraordinary General Meeting of the members of the above named companies, duly convened and held at Faraday House, Sir William Siemens Square, Frimley, Camberley, Surrey GU16 8QD, on 24 September 2007, the following resolutions were passed as a Special Resolution and as an Ordinary resolution respectively:

“That the Company be wound up voluntarily and that Helen Timothe Phillips, of Phillips & Co, 21-23 Station Road, Gerrards Cross, Bucks SL9 8ES, be and is hereby appointed Liquidator of the company for the purposes of such winding ups and any act required or authorised under any enactment to be done by the Liquidator is to be done by all or any one or more of the persons for the time being holding that office.”
