At an Extraordinary General Meeting of the above-named Company, convened, and held at Bishop Fleming, 16 Queen Square, Bristol BS1 4NT, on 31 July 2007, at 10.00 am, the following Resolutions were passed, as a Special Resolution and as an Ordinary Resolution respectively:

“That the Company be wound up voluntarily, and that Jeremiah Anthony O’Sullivan, of Bishop Fleming, 16 Queen Square, Bristol BS1 4NT, be appointed Liquidator of the Company for the purposes of the voluntary winding-up.”
