At an Extraordinary General Meeting of the Members of the above-named Company, duly convened, and held at The Bath & County Club, Queens Parade, Bath BA1 2NJ, on 28 June 2007, the following Resolutions were duly passed, as a Special Resolution, as an Ordinary Resolution and as an Extraordinary Resolution respectively:

“That the Company be wound up voluntarily, that SueStockley, of Fanshawe Lofts, Universal House, 1-2 Queens Parade Place, Bath BA1 2NN, is hereby appointed Liquidator, that the Liquidator shall be remunerated by reference to the time properly spent by her and her staff and that her expenses shall be paid from the estate and that she may draw such sums from time to time as required by Rule 4.148A of the Insolvency Rules 1986 and that the Liquidator shall have the powers set out in Part 1 of Schedule 4 of the Insolvency Act 1986.”
