Notice is hereby given that, on 6 June 2007, an Application was presented to Her Majesty’s High Court of Justice by Bristol & West plc (“ Bristol & West” ) and the United Kingdom branch of the Governor and Company of the Bank of Ireland (“ Bank of Ireland” ) pursuant to section 107(1) of the Financial Services and Markets Act 2000 (“ FSMA ”) for an Order:

1. under section 111 of FSMA sanctioning a banking business transfer scheme for the transfer to Bank of Ireland of the whole of the Business (as defined in the Scheme) of Bristol & West (the “ Scheme” ); and

2. making ancillary provision in connection with the Scheme pursuant to section 112 of FSMA.

The Business to be transferred pursuant to the Scheme principally comprises Bristol & West’s deposit-taking, mortgage and home finance businesses.

A statement setting out the terms of the Scheme will be provided free of charge to any person who requests it before the making of an Order sanctioning the Scheme by writing to either of the addresses, or calling the number, set out in the Schedule below. Alternatively you can access this document and a full copy of the Scheme until the making of an Order sanctioning the Scheme on the websites set out in the Schedule.

The Application is directed to be heard before the Judge at the Royal Courts of Justice, Strand, London WC2A 2LL, England on 17 September 2007.

Any person who believes that he or she will be adversely affected by the Scheme is entitled to attend (in person or by legal representative with advocacy rights) and be heard by the High Court at the hearing of the Application. Any person who intends so to appear is requested to notify Herbert Smith LLP, the Solicitors acting for Bristol & West and Bank of Ireland, as named below, as soon as possible and preferably before 10 September 2007 of such intention and of the reasons therefor.
