At an Extraordinary General Meeting of the above-named company, duly convened, and held at the office of Irwin & Company, Station House, Midland Drive, Sutton Coldfield, West Midlands B72 1TU on 4th June 2007, the subjoined Special Resolution was duly passed, viz:-

That the company be wound up voluntarily, and that Gerald Irwin of Irwin & Company, Station House, Midland Drive, Sutton Coldfield, West Midlands B72 1TU, Chartered Certified Accountant and Licensed Insolvency Practitioner, be and is hereby appointed Liquidator for the purposes of such winding-up.
