At an Extraordinary General Meeting of the above-named Company, duly convened, and held at 35 Morris Road, Leicester LE2 6BR, on 18 May 2007, the following Resolutions were passed, as an Extraordinary Resolution and as an Ordinary Resolution respectively:

“That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business and the Company be wound up voluntarily, and that StephenGoderski, of the firm of Geoffrey Martin & Co, 7-8 Conduit Street, London W1S 2XF, be and is appointed as Liquidator of the Company.”
