At an Extraordinary General Meeting of the above-named Company, duly convened, and held at Butcher Woods, 79 Caroline Street, Birmingham B3 1UP, on 9 May 2007, the following Resolutions were passed, as an Extraordinary Resolution and as an Ordinary Resolution respectively:

“That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business and that it is advisable to wind up the same, and that accordingly the Company be wound up voluntarily, and that RoderickGrahamButcher, of Butcher Woods, 79 Caroline Street, Birmingham B3 1UP, be and is hereby appointed Liquidator of the Company for the purpose of the voluntary winding-up.”

At a Meeting of Creditors held on 9 May 2007, the Creditors confirmed the appointment of Roderick Graham Butcher as Liquidator and that anything required or authorised to be done by the Liquidator be done by him.
