At an Extraordinary General Meeting of the above-named Company, duly convened, and held at Clifton House, Bunnian Place, Basingstoke, Hampshire RG21 7JE, on 20 March 2007, at 3.30 pm, the following Resolutions were paßsed as a Special Resolution and as an Ordinary Resolution respectively:

“That the Company be wound up voluntarily, and that NigelIanFox and CarlStuartJackson, of Tenon Recovery, Highfield Court, Tollgate, Chandlers Ford, Eastleigh, Hampshire SO53 3TZ, be and are hereby appointed Joint Liquidators for the purpose of such winding-up.”
