ALLIANCE & LEICESTER PLC (GROUP REORGANISATION) ACT 2000

Notice is hereby given, pursuant to section 3(2) of the Alliance & Leicester plc (Group Reorganisation) Act 2000 (“the Act”) that:
1. 30 March 2007 is an appointed day (“Appointed Day”) for the purposes of the Act.
2. Alliance & Leicester Commercial Bank plc (“ALCB”) (formerly known as Girobank plc) is the specified transferor.
3. Alliance & Leicester plc is the transferee of the undertaking.
4. The undertaking in respect of which 30 March 2007 is the Appointed Day consists of the business, assets, property and liabilities of ALCB on that Appointed Day.
