(Company Number 4288550) At an Extraordinary General Meeting of the above-named Company, convened and held at 233-237 Old Marylebone Road, London NW1 5QT, on 25 October 2006, the following Resolutions were duly passed, as an Extraordinary Resolution and as Ordinary Resolutions respectively: “That it has been proved to the satisfaction of the Meeting that the Company cannot, by reason of its liabilities, continue its business, and that the Company be wound up voluntarily, and that Norman Cowan, of Wilder Coe, 12th Floor, Southgate House, St George’s Way, Stevenage SG1 1HG, be appointed Liquidator of the Company for the purposes of the voluntary winding-up.” C McLoughlin, Chairman
