Limited) On 29 September 2006 the following Resolutions were duly passed in writing by all of the Members of the above-named Company who were, at the date thereof, entitled to attend and vote at a General Meeting of the Company, as a Special Resolution, an Ordinary Resolution and an Extraordinary Resolution respectively: “That the Company be wound up voluntarily, that Christopher Williams of McTear Williams and Wood, 90 St Faiths Lane, Norwich NR1 1NE, be and is hereby appointed Liquidator of the Company for the purposes of such winding up, and that the Liquidator be authorised to value the Company’s assets for the purposes of a distribution in specie and that he distribute the assets accordingly.” P C Waller, Director
