At an Extraordinary General Meeting of the above-named Companies, duly convened, and held at Aldwych House, 81 Aldwych, London WC2B 4HQ, on 26 April 2006, at 3.15 pm, the subjoined Special Resolution was duly passed: “That the Companies be wound up voluntarily, and that Roderick John Weston, of Mazars LLP, 24 Bevis Marks, London EC3A 7NR, be and is hereby appointed Liquidator for the purpose of such windings-up.” Chairman
