(Company Number 1818302) At an Extraordinary General Meeting of the Members of the above-named Company, duly convened, and held at Markham House, 20 Broad Street, Wokingham, Berkshire RG40 1AH, on 31 March 2006, at 10.30 am, the following Resolutions were duly passed, as a Special Resolution and as an Ordinary Resolution respectively: “That the Company be wound up voluntarily and that Angus Matthew Martin and Nicholas Guy Edwards, of Abbots House, Abbey Street, Reading RG1 3BD, (together the “Joint Liquidators”) be and are hereby appointed Liquidators for the purposes of winding-up the Company’s affairs and that any act required or authorised under any enactment or Resolution of the Company to be done by them, may be done by them jointly or by each of them alone.” M B F Farrugia, Chairman
