At an Extraordinary General Meeting of the above-named Company, duly convened, and held at Priory Dene Conference Room, Priory Hospital, Priory Road, Edgbaston, Birmingham B5 7UG, on 1 December 2005, the following Special Resolution was duly passed: “That the Company be wound up voluntarily, and that M T Coyne, of Poppleton & Appleby, 35 Ludgate Hill, Birminmgham B3 1EH, be and is hereby appointed Liquidator for the purpose of such winding-up.” C Barraclough
