Resolutions for Winding-up
RIDGEWOOD SHIPPING SERVICES LIMITED
At an Extraordinary General Meeting of the above-named Company, duly convened, and held at Moore Stephens Corporate Recovery, Beaufort House, 94-96 Newhall Street, Birmingham B3 1PB, on 3 August 2005, the following Resolutions were duly passed, as an Extraordinary Resolution and as an Ordinary Resolution respectively: “That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same and that accordingly the Company be wound up voluntarily, and that Mark Elijah Thomas Bowen of Moore Stephens Corporate Recovery, Beaufort House, 94-96 Newhall Street, Birmingham B3 1PB, be and is hereby appointed Liquidator of the Company for the purpose of the voluntary winding-up.” At a Meeting of Creditors held on 3 August 2005, the Creditors confirmed the appointment of Mark Elijah Thomas Bowen as Liquidator and that anything required or authorised to be done by the Liquidator be done by him.
