At an Extraordinary General Meeting of the above-named Company, duly convened, and held at Carlton House, 33 Robert Adam Street, London W1U 3HR, on 18 February 2005, the subjoined Resolutions were passed, as a Special Resolution and as an Ordinary Resolution respectively: “That the Company be wound up voluntarily as a Members’ voluntary liquidation, and that Richard Toone and Kenneth Touhey, having confirmed that they are qualified Insolvency Practitioners and that they consent to act, be and are hereby appointed Joint Liquidators for the purposes of such winding-up.” S C Mitchley, Chairman
