At an Extraordinary General Meeting of the above-named Company, convened, and held at RSM Robson Rhodes LLP, 176-180 Old Street, London EC1V 2NU, on 26 November 2004, the following Resolutions were passed, as an Extraordinary Resolution and as Ordinary Resolutions respectively: “That the Company cannot, by reason of its liabilities, continue its business, and that the Company be wound up voluntarily, that G P Rowley and S P Bower, of RSM Robson Rhodes LLP, 186 City Road, London EC1V 2NU, be appointed as Joint Liquidators of the Company for the purpose of such winding-up, and that the Joint Liquidators act jointly and severally.” G Hallam, Chairman
