We, being the sole Member of the Company, entitled to attend and vote at an Extraordinary General Meeting of the Company, on 7 October 2004, hereby resolve in accordance with the articles of association of the Company that the following written Resolutions be passed as Special Resolutions of the Company: “That the Company be wound up voluntarily, and that Peter W Engel, of Solomon Hare LLP, Oakfield House, Oakfield Grove, Clifton, Bristol BS8 2BN, be and is hereby appointed Liquidator (the “Liquidator”) for the purposes of such winding-up.” For and on behalf of Macaer Meccanica Aeronautica SpA
