(RiverStone) and in the Matter of the Financial Services and Markets Act 2000 1. Notice is hereby given that an application (the Application) for an Order sanctioning a general insurance business transfer scheme (the Scheme) under Part VII of the Financial Services and Markets Act 2000 was on 8 October 2004 presented to the High Court by RiverStone. The Scheme provides for the transfer to RiverStone of the general insurance business of the Transferors carried on in the United Kingdom through the predecessor Companies of RiverStone Management Limited (formerly known as Sphere Drake Underwriting Management Limited and Odyssey Re Management Limited) including Alexander Howden & Swann Agencies Limited, Trimark Underwriting Agencies Limited, Arpel Underwriting Agencies Limited, Arpel Trimark Underwriting Agencies Limited, Solar Underwriting Agencies Limited and Sphere Drake (Underwriting ) Limited and, in respect of Sphere Drake Insurance Limited only (and subject to certain exclusions as described in the Scheme), all other general insurance business. 2. The reports on the terms of the Scheme prepared by an independent expert and a summary of those reports and of the Scheme are available at http://riverstone.dentonwildesapte.com. These documents can also be obtained from RiverStone Management Limited at the address given below. 3. The Application is directed to be heard before Mr Justice Mann at the Royal Courts of Justice, Strand, London WC2A 2LL, on 6 December 2004. Any person (including any employee of any Transferor or Riverstone) who claims that he or she would be adversely affected by the Scheme may appear at the time of the hearing in person or by Counsel. Any person who intends so to appear and any policyholder of any Transferor or RiverStone who dissents from the Scheme but does not intend so to appear should give not less than two clear days prior notice in writing of such intention or dissent and of the reasons therefore to the Solicitors named below.
