At an Extraordinary General Meeting of the above-named Company convened and held at 44 Grosvenor Hill, London W1X 9JE, on 7 September 2004, the following Resolutions were passed as a Special Resolution and as an Ordinary Resolution respectively: “That the Company be wound up voluntarily, and that R M Withinshaw, of Royce Peeling Green, The Copper Room, Deva Centre, Trinity Way, Manchester M3 7BG, be appointed Liquidator for the purpose of such winding-up.” J L Goldstone, Chairman
