At an Extraordinary General Meeting of the Companies, duly convened, and held at Hays House, Millmead, Guildford, Surrey GU2 4HJ, on 21 June 2004, the following Resolutions were duly passed as a Special Resolution and as an Ordinary Resolution respectively: “That the Companies be wound up voluntarily, and that James Robert Drummond Smith and Nicholas James Dargan, of 66 Shoe Lane, London EC4A 3BQ, be and are hereby appointed Joint Liquidators of the Companies.”
