At an Extraordinary General Meeting of the above-named Company, duly convened, and held at Leonard Curtis & Co, One Great Cumberland Place, Marble Arch, London W1H 7LW, on 11 November 2003, the following Extraordinary Resolution was duly passed: “That it has been proved to the satisfaction of the Meeting that this Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily, and that N A Bennett, of Leonard Curtis & Co, One Great Cumberland Place, Marble Arch, London W1H 7LW, be and is hereby appointed Liquidator of the Company for the purposes of such winding-up.” R J Biffa, Director
