At an Extraordinary General Meeting of the Members of the above-named Company, duly convened, and held at 5-6 The Courtyard, East Park, Crawley, West Sussex RH10 6AG, on 18 September 2003, at 11.30 am, the following Resolutions were duly passed as a Special Resolution, as an Ordinary Resolution and as Extraordinary Resolutions respectively: “That the Company be wound up voluntarily, that Graham Peter Petersen of the firm of Benedict Mackenzie, 5-6 The Courtyard, East Park, Crawley, West Sussex RH10 6AG, be and is hereby appointed Liquidator of the Company for the purpose of the voluntary winding-up, that in accordance with the provisions of the Company’s Articles of Association, the Liquidator be and is hereby authorised to divide among the Members in specie, all or part of the Company’s assets and that the Liquidator be and is hereby authorised to pay any class of Creditor in full.” D W Martin, Director
