At an Extraordinary General Meeting of the above-named Company, convened, and held at Royce Peeling Green, The Copper Room, Deva Centre, Trinity Way, Manchester M3 7BG, on 16 April 2003, the following Resolutions were passed, as an Extraordinary Resolution and as an Ordinary Resolution respectively: “That the Company cannot, by reason of its liabilities, continue its business, and that the Company be wound up voluntarily, and that Kerry Bailey, of Royce Peeling Green, The Copper Room, Deva Centre, Trinity Way, Manchester M3 7BG, be appointed Liquidator of the Company for the purpose of such winding-up.” At a Meeting of Creditors held on 16 April 2003, the Creditors confirmed the appointment of K Bailey, as Liquidator.
