At an Extraordinary General Meeting of the Members of the above-named Company, duly convened, and held at 4th Floor, Riverside House, 31 Cathedral Road, Cardiff CF11 9HB, on 13 March 2003, the following Extraordinary Resoution was duly passed: “That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily, and that John W Davies and Peter W Engel, of Solomon Hare, 4th Floor, Riverside House, 31 Cathedral Road, Cardiff CF11 9HB, be and they are hereby nominated Liquidators for the purpose of the winding-up.” P Russell, Director
