At an Extraordinary General Meeting of the above-named Company, held at Draycote House, Leamington Hastings, Rugby, Warwickshire CV23 8DX, on 19 March 2003, the following Resolution was proposed and passed as a Special Resolution of the Company: “That the Company be wound up voluntarily and that David Asbury of Fields, Asden House, 1-5 Victoria Street, West Bromwich, West Midlands B70 8HA, be appointed Liquidator for the purpose of such winding-up, and the remuneration of the Liquidator for his services in the winding-up be fixed at the sum of £3,000, together with his reasonable out-of-pocket expenses and proper disbursements, and VAT at the applicable rate.” M J Ogilvie, Director
